Did Strive ($ASST) Just Deploy Warren Buffett\u2019s Elephant Gun?<\/a><\/p>\n<div><\/div>\n<p>Warren Buffett, America\u2019s most beloved investor and part-time<a href=\"https:\/\/bitcoinmagazine.com\/business\/what-warren-buffett-gets-right-about-bitcoin\"> Bitcoin hater<\/a>, sometimes talks about Berkshire Hathaway\u2019s massive cash pile as an \u201c<a href=\"https:\/\/www.bloomberg.com\/news\/audio\/2020-09-25\/buffett-s-elephant-gun-podcast\" target=\"_blank\" rel=\"noopener\">elephant gun<\/a>.\u201d The company\u2019s assets are huge and it sits on hundreds of billions in cash, which means that for Buffett to meaningfully move the needle for his company\u2019s investments, acquisitions have to be <em>supersized<\/em>.<\/p>\n<p>The bitcoin treasury company sphere is coming around to a similar observation: <em>Go big or go home<\/em>, even when the bitcoin price falls and makes life difficult for the BTCTCs. To make a meaningful dent in the race to most corporate bitcoin <em>-slash- <\/em>carve out a nice chunk of this future financial world we think<a href=\"https:\/\/bitcoinmagazine.com\/markets\/preston-pysh-changed-bitcoin-treasuries\"> Bitcoinizing finance<\/a> will produce, you need<em> a lot of bitcoin<\/em>: Even Nakamoto\u2019s<a href=\"https:\/\/bitcoinmagazine.com\/news\/kindlymd-buys-5744-bitcoin-for-679-million-to-expand-nakamoto-bitcoin-treasury\"> $679-million purchase<\/a> only got them some 5,000 BTC.<\/p>\n<p>Buffett\u2019s problem is that in the supersized class, most things are efficiently priced and so you can\u2019t readily outperform by acquiring businesses there. The bitcoin treasury scene <em>isn\u2019t<\/em> very efficient (yet?). Why a pot of bitcoin listed on a stock exchange trades at anything other than its bitcoin market value makes little sense to me (yes, yes,<a href=\"https:\/\/bitcoinmagazine.com\/bigread\/bitcoin-treasury-companies-how-to-think\"> I get it<\/a>: discounted future banking opportunities, and ability to keep financially engineer yourself into a larger pile). Thus, our beloved BTCTCs have <a href=\"https:\/\/x.com\/joakimbook\/status\/1968371416614768722\">the same problem<\/a> Buffett has.<\/p>\n<p>\u201cEvery day I wake up thinking, \u2018crap, I gotta get to work because the Metaplanet people will outpace me&#8217;\u201d \u2013 <em><a href=\"https:\/\/x.com\/joakimbook\/status\/1968371416614768722\">Michael Saylor, Sept 17, New York City<\/a><\/em><\/p>\n<p>In Bitcoinland, we like to keep things interesting. From macro news this morning, we saw gold reach all-time highs, while<a href=\"https:\/\/x.com\/gerovich\/status\/1969959988383953333?s=46&amp;t=qcJDE0RaWiQjEKjMZF2JjA\"> Metaplanet<\/a>,<a href=\"https:\/\/x.com\/BitcoinMagazine\/status\/1970095992025288877\"> Strategy<\/a> and<a href=\"https:\/\/x.com\/alexandrelaizet\/status\/1970007593671397882\"> Capital \u20bf<\/a> announced poorly timed massive gobblings of coins as the bitcoin price abruptly fell some 5% amid the largest<a href=\"https:\/\/x.com\/coinglass_com\/status\/1970025212189294784\"> liquidation event for crypto<\/a> this year.<\/p>\n<p><em>And<\/em> we saw the first of many predictable acquisitions of bitcoin treasury companies taking place.<\/p>\n<p>Semler Scientific (<em>NASDAQ: $SMLR<\/em>), a health care company turned bitcoin treasury company with<a href=\"https:\/\/bitcointreasuries.net\/public-companies\/semler-scientific\" target=\"_blank\" rel=\"noopener\"> 5,021 BTC<\/a> on its balance sheet, has for weeks traded below the market price of its bitcoin, making it a prime acquisition target, as it would allow any sufficiently large player to buy 5,021 BTC at roughly the cost of 4,400 BTC). Thus, the financial-engineering<a href=\"https:\/\/bitcoinmagazine.com\/news\/nakamoto-seeding-bitcoin-treasury-companies\"> flywheel ability<\/a> for Semler was over and its Bitcoin management would have had to rely on actual, old-school cash flows to stack more sats. (Some<a href=\"https:\/\/www.theblock.co\/amp\/post\/371021\/quarter-of-public-bitcoin-treasury-companies-trade-below-btc-holdings\" target=\"_blank\" rel=\"noopener\"> one-quarter<\/a> of bitcoin treasury companies are in that situation now.)<\/p>\n<p>In came Strive (<em>NASDAQ: $ASST<\/em>), with an<a href=\"https:\/\/bitcoinmagazine.com\/news\/strive-acquires-semler-in-bitcoin-treasury-deal\"> all-share acquisition deal<\/a> to take over the company, while <em>also<\/em> acquiring 5,886 bitcoin for itself (instantly underwater by 3%, having burned some $20 million on<a href=\"https:\/\/bitcoinmagazine.com\/markets\/bitcoin-asia-everything-upside-down-price\"> bad timing<\/a>). The<a href=\"https:\/\/www.globenewswire.com\/news-release\/2025\/09\/22\/3153902\/0\/en\/Strive-Inc-Nasdaq-ASST-and-Semler-Scientific-Inc-Nasdaq-SMLR-Announce-Bitcoin-Treasury-Merger-in-All-Stock-Transaction.html\" target=\"_blank\" rel=\"noopener\"> press release for the deal cites<\/a> this hypothetical, kind of misleading \u201c210% premium\u201d figure (that\u2019s also all over<a href=\"https:\/\/x.com\/matthew_sigel\/status\/1970101277972435035?s=46&amp;t=qcJDE0RaWiQjEKjMZF2JjA\"> Twitter<\/a>):<\/p>\n<p>\u201cSemler shareholders will receive 21.04 Class A common shares of Strive for each Semler share, valuing Semler at $90.52 per share, a premium of more than 210% to its Friday close.\u201d<\/p>\n<p>Semler Scientific\u2019s stock<a href=\"https:\/\/finance.yahoo.com\/quote\/SMLR\/\" target=\"_blank\" rel=\"noopener\"> (<em>NASDAQ: $SMLR<\/em>)<\/a> shot up almost 30% in early morning trade, to quickly give back most of that gain, at press time sitting on +11%. In typical financial market fashion where the acquirer in hubris might have overpaid for a target,<a href=\"https:\/\/finance.yahoo.com\/quote\/ASST\/\" target=\"_blank\" rel=\"noopener\"> Strive (<em>NASDAQ: $ASST<\/em>)<\/a> saw <em>its<\/em> shares fall upward of 11% in today\u2019s trading.<\/p>\n<p>And there\u2019s clearly more to the story, with Strive itself forking over overvalued shares (its mNAV is in the<a href=\"https:\/\/bitcointreasuries.net\/public-companies\/760\" target=\"_blank\" rel=\"noopener\"> 3-8 range<\/a>, depending on dilution), so the real bitcoin-value that SMLR shareholders receive is<a href=\"https:\/\/x.com\/matthew_sigel\/status\/1970120923291304438\"> roughly aligned<\/a> with where Wall Street is trading that stock this morning. There\u2019s no arbitraged premium when you\u2019re paying with air! The price of Strive shares when <a href=\"https:\/\/x.com\/Kafka7invest\/status\/1970142971871027641\">they unlock later<\/a> this year, is unknowable. Plus, our beloved <a href=\"https:\/\/www.bloomberg.com\/opinion\/newsletters\/2025-07-17\/everyone-wants-a-bitcoin-treasury\" target=\"_blank\" rel=\"noopener\">Matt Levine at Bloomberg<\/a> called the trade in July:\u00a0<\/p>\n<p>\u201ceventually there will be stock-for-stock mergers of Bitcoin treasury companies. The ones that trade at lower premiums will sell to the ones that trade at higher premiums.\u201d<\/p>\n<p>\u2026which he reminded everyone about in <a href=\"https:\/\/www.bloomberg.com\/opinion\/newsletters\/2025-09-22\/bitcoin-treasury-company-m-a\" target=\"_blank\" rel=\"noopener\">his newsletter<\/a> today.<\/p>\n<p>At the<a href=\"https:\/\/bitcoinmagazine.com\/industry-events\/michael-saylor-pushes-digital-capital-narrative-at-bitcoin-treasuries-unconference\"> NYC Unconference treasury<\/a> event last week, I spoke to someone who definitely had knowledge of this deal \u2014 they shared nothing; I received no MNPI \u2014 but they seemed oddly unfazed by the fact that many treasury companies trade below the value of their bitcoin holdings. Of course, if I was aware of an elephant hunter already closing a premium deal on my undervalued company, then I\u2019d feel pretty calm as well.<\/p>\n<p>Doing some back-of-the-envelope calculations here, Semler\u2019s 17,051,000 fully diluted<a href=\"https:\/\/ir.semlerscientific.com\/shares\" target=\"_blank\" rel=\"noopener\"> shares<\/a> gave it a market capitalization of just below $500 million per Friday\u2019s close\u2026 but its <em>bitcoin<\/em> holdings on Friday were worth $580 million (about $564 million at press time, bitcoin price crumbling today). With each common share of SMLR turning into 21.05 ASST shares, Strive is forking over some $1.4 billion of paper for the privilege of owning Semler \u2014 with $564 million being pure, market-value bitcoin and the remainder for the cash-flow positive business that is Semler Scientific. At free cash flow of about $49 million last year, that spits out a price-to-free-cash-flow of about 17 for Semler\u2019s operating business. Looking up valuations of<a href=\"https:\/\/companiesmarketcap.com\/healthcare\/healthcare-companies-ranked-by-pe-ratio\/\" target=\"_blank\" rel=\"noopener\"> other health care companies<\/a>, that seems pretty reasonable.\u00a0<\/p>\n<p>Of course, it raises the question as to why SMLR shares were changing hands at $29 on Friday if $90 would have been a reasonable value\u2026 and Mr. Levine has the snarky answer for us:\u00a0<\/p>\n<p>\u201cWouldn\u2019t it be more efficient for Strive to sell that $1.3 billion worth of stock for cash and use the cash to buy $1.3 billion worth of Bitcoin, roughly twice as much as it\u2019s getting in this merger? Why wouldn\u2019t it just do that? Ahahaha no I\u2019m kidding I know why.<strong> These days it is harder than it used to be to sell $1 worth of Bitcoin for $2 on the stock market<\/strong>, but it\u2019s easier if the buyer is also a crypto treasury company.\u201d<\/p>\n<p>We\u2019ll see how the <a href=\"https:\/\/x.com\/kakapo_coder\/status\/1970190821501608390\">exact details<\/a> flush out, but the world of bitcoin treasury companies defying financial gravity sure keeps our days interesting.\u00a0<\/p>\n<p><em>BTC Inc, Bitcoin Magazine\u2019s parent company, is affiliated with Nakamoto ($NAKA) through common ownership.
