In simple terms, the test examines whether there was an investment of money, a common enterprise, and an expectation of profit derived from the efforts of others.<\/p>\n<p>The SEC claims the Binance case satisfies all three criteria. It says the exchange made users believe the value of their tokens depended on the success of Binance\u2019s ecosystem, creating an expectation of profits.<\/p>\n<p>Its <a href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.dcd.256060\/gov.uscourts.dcd.256060.290.0.pdf\" target=\"_blank\" rel=\"noopener\">filing<\/a> goes further by challenging Binance\u2019s position that secondary market trades fall outside the scope of securities laws, asserting that such transactions are also governed by the Howey Test.<\/p>\n<p>The financial watchdog\u2019s lawsuit, which was first filed earlier this year, faced criticism from Judge Amy Berman Jackson, who questioned some of its arguments. This led the SEC to <a href=\"https:\/\/cryptopotato.com\/sec-plans-to-amend-binance-complaint-avoiding-ruling-on-third-party-crypto-asset-securities\/\" target=\"_blank\" rel=\"noopener\">amend<\/a> its complaint. Binance and Zhao responded by <a href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.dcd.256060\/gov.uscourts.dcd.256060.285.0_14.pdf\" target=\"_blank\" rel=\"noopener\">lodging <\/a>a motion to dismiss the amended complaint on November 4, arguing the regulator failed to provide enough evidence.<\/p>\n<p>However, in its newest court filing, the SEC continues to target BNB and ten other cryptocurrencies, labeling them securities. These include Solana (SOL), Cardano (ADA), Polygon (MATIC), Filecoin (FIL), Cosmos (ATOM), The Sandbox (SAND), Decentraland (MANA), Algorand (ALGO), Axie Infinity (AXS), and COTI.<\/p>\n<p>The SEC also pushed back against criticism from the crypto industry, rejecting claims that it is overstepping its authority. In its filing, the agency stated, \u201cThe foretold vast and purported suffocating assertion of regulatory dominion over an entire industry has not occurred, but they complain about that, too.\u201d<\/p>\n<h2>Industry Experts Weigh In<\/h2>\n<p>Meanwhile, not everyone agrees with the regulator\u2019s methods. Paul Grewal, Coinbase\u2019s legal chief, criticized the agency for what he sees as inconsistent enforcement. In a tweet, he <a href=\"https:\/\/x.com\/iampaulgrewal\/status\/1864737745169715579\" target=\"_blank\" rel=\"noopener\">questioned<\/a> why the SEC never classified Ethereum (ETH) and Bitcoin (BTC) as securities.<\/p>\n<p>Ripple\u2019s legal officer, Stuart Alderoty, also weighed in, criticizing SEC Chair Gary Gensler, who is set to step down on January 20, 2025, with President-elect Donald Trump planning to <a href=\"https:\/\/cryptopotato.com\/bitcoin-blasts-through-103000-after-trumps-pro-crypto-pick-for-sec\/\" target=\"_blank\" rel=\"noopener\">replace<\/a> him with Paul Atkins, a pro-crypto advocate. Alderoty accused Gensler of rushing to file the latest 81-page brief before leaving office, <a href=\"https:\/\/x.com\/s_alderoty\/status\/1864730425274569019\" target=\"_blank\" rel=\"noopener\">describing <\/a>it as recycling \u2018failed arguments.\u2019<\/p>\n<p>Crypto attorney John Deaton added his voice, <a href=\"https:\/\/x.com\/JohnEDeaton1\/status\/1864741665594085839\" target=\"_blank\" rel=\"noopener\">urging <\/a>the SEC to reread the original Howey decision.
