The FSCA\u2019s decisions were communicated confidentially to the named individuals on August 30,\u00a02026.<\/p>\n<p>Individuals named in the orders include ABC founder and CEO Warren Wheatley, chief investment officer Akshay Karan, and Tatum Wheatley, who heads media and investor relations.<\/p>\n<p>The debarments last for 20 years and bar all three from providing financial products or services, serving as key persons at financial institutions, or otherwise serving financial institutions in any capacity. The FSCA has not publicly disclosed its reasons for the\u00a0action.<\/p>\n<p>ABC, which markets itself as Africa\u2019s first listed <a href=\"https:\/\/cryptoafrica.news\/bitcoin-treasuries-africa-startups\/\">bitcoin treasury company<\/a>, disclosed the decisions to shareholders via a JSE SENS announcement after markets\u00a0closed.<\/p>\n<p>The company in its public disclosure stressed that the regulator\u2019s findings apply only to the individuals. No other entity within ABC, including subsidiary Altvest Credit Opportunities Fund (ACOF), faces any FSCA finding, penalty, or debarment.<\/p>\n<h3>Board Response &amp; Executive Leadership Changes<\/h3>\n<p>The board <a href=\"https:\/\/africabitcoincorporation.com\/wp-content\/uploads\/2026\/09\/ABC-Media-Release-01092026.pdf\">moved<\/a> the following day quickly. Wheatley and Karan were placed on precautionary leave from their executive roles for an initial one-month period, subject to review. Tatum Wheatley\u2019s consulting arrangement was suspended for the same window. None of the three will exercise authority on ABC\u2019s behalf during this\u00a0period.<\/p>\n<p>Warren Wheatley also resigned as a company director effective August 31, and all three stepped down from ACOF\u2019s board the same\u00a0day.<\/p>\n<p>ABC and ACOF Chairperson Norma Sephuma said, <em>\u201cWe acted immediately to establish the governance arrangements required to protect the Group and maintain operational continuity. The relevant board resignations have taken effect, interim leadership arrangements are in place, and clear responsibilities have been established across the Group. [\u2026] Given the positions held by the Individuals, the Board recognised the need for an immediate and credible governance response.\u201d<\/em><\/p>\n<p>She added, <em>\u201cThe matters underlying the decisions date back to 2022 and arose before the current Board was constituted in its present form. We recognise the significant consequences of the decisions for Warren, Akshay and\u00a0Tatum.<\/em><\/p>\n<p><em>They have informed ABC that they dispute the findings and intend to exercise their available legal rights. The Board will respect that process while maintaining an independent and objective position.\u201d<\/em><\/p>\n<h3>Stafford Masie Steps In as Interim\u00a0CEO<\/h3>\n<p>Stafford Masie, an existing executive director and the company\u2019s Director of Bitcoin Strategy, has taken over as interim CEO. He assumes oversight of group operations including ACOF. Masie, previously Altvest Capital\u2019s chairman and a Bitmach co-founder, said the board recognises the personal toll on the three executives while stressing its own duty to protect the business they helped\u00a0build.<\/p>\n<p><em>\u201cMy responsibility, together with the Board and the broader team, is to hold the line: to provide stability, protect what has been built and maintain the momentum of the business while they exercise their legal rights to challenge the FSCA decisions.\u201d<\/em><\/p>\n<h3>\u200bGovernance in Africa\u2019s Bitcoin Treasury\u00a0Space<\/h3>\n<p>\u200bFormerly known as Altvest Capital, the company made history in early 2025 as the first African publicly listed entity to adopt a corporate Bitcoin treasury strategy. ABC explicitly modelled its reserve thesis after <a href=\"https:\/\/cryptoafrica.news\/strategy-buys-1550-bitcoin-after-stock-drop\/\">MicroStrategy<\/a>.<\/p>\n<p>\u200bUnder Wheatley\u2019s initial leadership and Masie\u2019s strategic oversight, ABC outlined an <a href=\"https:\/\/cryptoafrica.news\/bitcoin-africa-cost-of-capital-stafford-masie\/\">ambitious plan<\/a> to use a Bitcoin-backed treasury to lower borrowing costs, optimise private-market investments for retail investors, and back SME loan facilities across the continent.<\/p>\n<p>ABC has expanded its trading footprint across secondary listings including A2X, Namibia\u2019s NSX, the US OTCQB, and Deutsche B\u00f6rse.
